Item 8.01 Other Events.

On May 29, 2014, The Hillshire Brands Company (“Hillshire”) issued a press release in response to an unsolicited proposal by Tyson Foods, Inc., a Delaware corporation, to acquire Hillshire for $50.00 per share in cash. A copy of the press release is attached as Exhibit 99.1 to this report and is incorporated herein by reference.
