Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

(b) At a meeting of the board of directors of Alcoa Inc. (“Alcoa”) on February 20, 2015, Dr. Judith M. Gueron announced her decision to retire as a director of Alcoa at the end of her current term. She will continue to serve as a director until Alcoa’s next annual meeting of shareholders, currently scheduled for May 1, 2015, and will not be standing for re-election at such meeting. Dr. Gueron’s decision to retire was not due to any disagreement with Alcoa on any matters relating to Alcoa’s operations, policies or practices.
