Item 8.01. Other Events.

On April 23, 2015, NetScout Systems, Inc. (the “Company”) issued a press release announcing that, on April 22, 2015, the U.S. Department of Justice (“DOJ”) informed the Company and Danaher Corporation (“Danaher”) that the DOJ had ended its investigation into the previously announced pending transaction involving the acquisition by the Company of Danaher’s Communications Business, that it had concluded that the transaction is not anti-competitive, and that the DOJ will not seek to prevent the closing of the transaction. A copy of the press release is attached hereto as Exhibit 99.1 and incorporated herein by reference.
