Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On May 1, 2015, the Board of Directors (the “Board”) of Cisco Systems, Inc. (“Cisco”) appointed Charles H. Robbins as Chief Executive Officer effective July 26, 2015. Mr. Robbins was also elected to the Board effective May 1, 2015. It has not yet been determined on which Board committees, if any, Mr. Robbins will serve.

In connection with the appointment of Mr. Robbins, John T. Chambers notified the Board of his decision to step down as Chief Executive Officer. Mr. Chambers will continue to serve as the Chairman of Cisco’s Board and will assume the role of Executive Chairman on July 26, 2015. The Board will approve the compensation of Mr. Chambers and Mr. Robbins in connection with their new roles at a later date.

Mr. Robbins, 49, joined Cisco in December 1997, from which time until March 2002 he held a number of managerial positions within Cisco’s sales organization. Mr. Robbins was promoted to Vice President in March 2002, assuming leadership of Cisco’s U.S. channel sales organization. Additionally, in July 2005 he assumed leadership of Cisco’s Canada channel sales organization. In December 2007, Mr. Robbins was promoted to Senior Vice President, U.S. Commercial, and in August 2009 he was appointed Senior Vice President, U.S. Enterprise, Commercial and Canada. In July 2011, Mr. Robbins was named Senior Vice President, Americas. In October 2012, Mr. Robbins was promoted to Senior Vice President, Worldwide Field Operations.
