Item 8.01 Other Events.

On June 7, 2018, AV Homes, Inc., a Delaware corporation (the “Company”), and Taylor Morrison Home Corporation, a Delaware corporation (“Taylor Morrison”), issued a joint press release announcing the entry by the Company, Taylor Morrison, Taylor Morrison Communities, Inc., a Delaware corporation, and Thor Merger Sub, Inc., a Delaware corporation, into an agreement and plan of merger (the “Joint Press Release”).

A copy of the Joint Press Release is attached hereto as Exhibit 99.1 and incorporated herein by reference.
