ITEM 8.01 – Other Events.

On June 19, 2018, Cincinnati Bell Inc. (the “Company”) issued a press release announcing the receipt of regulatory approval from the Federal Communications Commission (the “FCC”) of the proposed merger of Hawaiian Telcom Holdco, Inc. (“Hawaiian Telcom”) with and into a wholly owned subsidiary of the Company (the “merger”) pursuant to that certain Agreement and Plan of Merger, dated as of July 9, 2017, by and among Hawaiian Telcom, Twin Acquisition Corp. and the Company.

A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
