Item 2.02. | Results of Operations and Financial Condition |
On September 24, 2018, Symantec Corporation (the Company) issued a press release announcing that the Audit Committee of the Board of Directors (the Audit Committee) had concluded its internal investigation, originally announced in May 2018, of the allegations raised by a former employee. The Audit Committee reviewed a transaction with a customer entered into in the fourth quarter of fiscal year 2018 (ended March 30, 2018) for which $13 million was recognized as revenue in such quarter (which is still an open period). After subsequent review of the transaction, the Company has concluded that $12 million of the $13 million should be deferred. Accordingly, the previously announced financial results for the fourth quarter of fiscal year 2018 and the first quarter of fiscal year 2019 (ended June 29, 2018) will be revised to take into account this deferral and any other financial adjustments required as a result of this revision.
The information in this Item 2.02 shall not be deemed to be filed for purposes of Section 18 of the Securities Exchange Act of 1934, as amended, or otherwise subject to the liabilities of that section or Sections 11 and 12(a)(2) of the Securities Act of 1933, as amended. The information contained in this Item 2.02 shall not be incorporated by reference into any registration statement or other document filed with the Securities and Exchange Commission by the Company, whether made before or after the date hereof, regardless of any general incorporation language in such filing, except as shall be expressly set forth by specific reference in such filing.
