Item 5.03. | Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year. |
At a meeting of the Board of Directors, held on March 23, 2019, the Board of Directors adopted an amendment to the Amended and Restated By-Laws of the Company (the By-Law Amendment), which became effective immediately. The By-Law Amendment added a new Article XI that designates the Court of Chancery of the State of Delaware (or, only if the Court of Chancery in the State of Delaware lacks subject matter jurisdiction over any such actions or proceedings, another state or federal court located within the State of Delaware) as the sole and exclusive forum for certain legal actions, including derivative actions, actions asserting a breach of fiduciary duty by the directors or officers of the Company, actions based on the Delaware General Corporation Law or the Companys Amended and Restated Certificate of Incorporation or Amended and Restated By-Laws, or actions asserting a claim governed by the internal affairs doctrine, unless the Company consents in writing to the selection of an alternative forum.
