State below in reasonable detail why Forms 10-K, 20-F, 11-K, 10-Q, 10-D, N-SAR, N-CSR, or the transition report or portion thereof, could not be filed within the prescribed time period.

BioNeutral Group, Inc. (the “Company”) will not be able to timely file its Quarterly Report on Form 10-Q for the three months ended July 31, 2010 (the "Form 10-Q") in the time period prescribed for such filing without unreasonable effort or expense because (i) the Company has not completed preparation of financial statements for the three months ended July 31, 2010 for inclusion in the Form 10-Q, (ii) management has not completed its review of such financial statements, and (iii) the Company needs additional time to complete its preparation of the balance of the Form 10-Q.  The Company is undertaking its best efforts to file the Form 10-Q by September 17, 2010.
