ITEM 2.02. RESULTS OF OPERATIONS AND FINANCIAL CONDITION.
On November 11, 2005, Covalent Group, Inc. ("Covalent") issued a press
release announcing Covalent's corrected financial results for its third fiscal
quarter ended September 30, 2005.
A copy of Covalent's corrected press release is attached hereto as
Exhibit 99.1 and is incorporated herein by reference.
