Item 5.02. Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

Effective October 14, 2005, Mr. Allen Karp accepted an appointment as a director of the Board of Directors of Tucows, Inc. (the “Company”). There were no arrangements or understandings between Mr. Karp and any other persons pursuant to which Mr. Karp was selected as a director of the Company.

A press release, dated October 17, 2005, announcing Mr. Karps’ appointment to the Board is attached as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by reference.
