Press release from Ship Finance International Limited - September 25, 2017.
Ship Finance International Limited (the “Company”) advises that the 2016 Annual General Meeting of the Shareholders of the Company was held on September 22, 2017 at 9:30 a.m. at the Elbow Beach Hotel, 60 South Shore Road, Paget PG04, Bermuda. The audited consolidated financial statements for the Company for the year ended December 31, 2016 were presented to the Meeting.
In addition, the following resolutions were passed:

1) | To re-elect Paul Leand, Jr., as a Director of the Company. |

2) | To re-elect Kate Blankenship as a Director of the Company. |

3) | To re-elect Harald Thorstein as a Director of the Company. |
| |
4) | To re-elect Bert M. Bekker as a Director of the Company. |
| |
5) | To re-elect Gary Vogel as a Director of the Company. |
| |
6) | That Moore Stephens, P.C. be re-appointed as auditors of the Company and that the Directors be authorised to determine their remuneration. |

7) | That the remuneration payable to the Company’s Board of Directors of a total amount of fees not to exceed $800,000 be approved for the year ended December 31, 2017. |
The Board of Directors has awarded 113,000 options to employees as part as of the management incentive program. The options have been issued pursuant to the Company's Share Option Scheme and will have a five-year term with a three-year vesting period. The initial strike price is $14.30 and the first options will be exercisable from September 2018.
