(b) Effective May 10, 2013 and after 17 years of service as a Director, William L. Robinson, Esq. retired from the Board of Directors in compliance with the Company’s retirement age policy for directors.

Mr. Robinson served in the class of directors whose terms are scheduled to expire at the 2014 Annual Meeting of Shareholders. The Board of Directors has decided not to fill immediately the vacancy resulting from Mr. Robinson’s retirement, reducing the number of directors to 9.
