Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

The Company announced today that Mr. Steven Schneider is resigning from his positions as President and Chief Operating Officer of the Company, and will assume the role of Executive Vice President of Strategic Initiatives, effective July 1, 2013.

Further information regarding Mr. Schneider’s new role with the Company is set forth in the press release issued on June 27, 2013, a copy of which is attached to this Form 8-K as Exhibit 99.1.
