Item 5.03. Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year
On February 14, 2013, the Board of Directors of Under Armour, Inc. approved an amendment to Section 1 of the company's Bylaws to remove the requirement that the annual meeting of shareholders be held in May of each year.
The company's Bylaws as amended are attached hereto as Exhibit 3.2 and are incorporated by reference herein.
