On March 8, 2006, the Company entered into a settlement agreement with the plaintiff in the case. The settlement agreement provides for, inter alia, (1) the dismissal of the action with prejudice, (2) payment of $8.55 million to the plaintiff not later than June 30, 2006, and (3) the exchange of releases by the parties from these or any related claims. The settlement payment will be reflected in the Company's first quarter results for 2006. The amount of the payment, net of established reserves, will not be material to those results.
