Item 1.01.    Entry into a Material Definitive Agreement

Renewal of Swedish Receivables Facility. On June 28, 2011, Meritor HVS A.B. (the “Seller”) entered into a Receivables Purchase Agreement (the “Swedish Facility”) with Viking and Citicorp Trustee Company Limited, as programme trustee, which was renewed through June 28, 2012. On June 10, 2013, the Swedish Facility was renewed for an additional term ending June 28, 2014. Except as so amended, the Swedish Facility continues to be as described in Meritor's Report on Form 8-K filed with the Securities and Exchange Commission on June 29, 2011.
