This Registration Statement is being filed on Form S-8 by the registrant, United States Steel Corporation (the “Registrant”), for the purpose of registering 7,200,000 shares of common stock to be issued under the United States Steel Corporation’s 2016 Omnibus Incentive Compensation Plan (the “Plan”).

Arden T. Phillips, Corporate Secretary and Associate General Counsel of United States Steel Corporation, who is passing on the validity of the common stock offered pursuant to the Plan, is an employee of the Registrant and receives awards under the Plan. Mr. Phillips currently owns 1,497 shares of common stock of the Registrant; holds options to purchase a total of 7,720 shares of the Registrant’s common stock; and owns 3,447 unvested restricted stock units.
