Item 1.01 Entry into a Material Definitive Agreement.
On January 31, 2019, Synovus Financial Corp. (the “Company”) entered into an Underwriting Agreement (the “Underwriting Agreement”), by and between the Company and J.P. Morgan Securities LLC, as representative of the several underwriters named therein (the “Underwriters”), pursuant to which the Company agreed to sell to the Underwriters $300 million aggregate principal amount of its 5.90% Fixed-to-Fixed Rate Subordinated Notes due 2029 (the “Notes”). The closing of the sale of the Notes is expected to occur on February 7, 2019, subject to customary closing conditions. The offering of the Notes is being made pursuant to the Company’s Registration Statement on Form S-3 (File No. 333-212916) filed with the Securities and Exchange Commission (the “SEC”) on August 4, 2016.
The Underwriting Agreement contains customary representations, warranties and covenants of the Company, conditions to closing, indemnification obligations of the Company and the Underwriters, and termination and other customary provisions.
The Underwriting Agreement is filed as Exhibit 1.1 to this Current Report on Form 8-K and is incorporated by reference herein.
