Item 8.01 Other Events.
Satisfaction of all Conditions to Closing
As of August 4, 2016, Diebold, Incorporated (“Diebold”) had received all of the requisite antitrust clearances for the proposed business combination between Diebold and Wincor Nixdorf Aktiengesellschaft (“Wincor Nixdorf”) required under the regulatory condition of Diebold’s voluntary public takeover offer (the “Offer”) to exchange each ordinary share of Wincor Nixdorf for €38.98 in cash and 0.434 new common shares of Diebold (the “Offer Consideration”). As a result of the satisfaction of the regulatory condition, all closing conditions to the Offer have been satisfied and the Offer is expected to close on August 15, 2016.
In connection with the closing of the Offer, Diebold expects to issue 9,928,514 common shares (the “New Shares”) that will be exchanged for tendered Wincor Nixdorf ordinary shares at the closing together with payment of the cash portion of the Offer Consideration. To the extent that former Wincor Nixdorf shareholders are entitled to fractional shares, those fractional entitlements will be aggregated and sold in the market and the proceeds of such sale distributed pro rata no later than ten business days after closing.
Diebold has applied for listing of the New Shares on the New York Stock Exchange and for listing of all 89,907,516 of its common shares (the New Shares together with all 79,979,002 existing issued common shares of Diebold) on the Frankfurt Stock Exchange. Trading of the tendered Wincor Nixdorf ordinary shares on the regulated market of the Frankfurt Stock Exchange has ceased after the end of the regular stock exchange trading hours of the Frankfurt Stock Exchange on August 5, 2016.
On August 4, 2016, Diebold issued a press release announcing the satisfaction of all closing conditions to the Offer. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated by reference herein.
