Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers
On March 21, 2008, Joseph P. Sellinger was appointed to the Company's Board of Directors. Ernest H. Drew, a director of the Company since 1999, has indicated his intention to retire from the Board on the date of the Company's Annual Meeting of Shareholders and accordingly, does not intend to stand for re-election at such meeting. There is no arrangement or understanding between Mr. Sellinger and any other persons pursuant to which Mr. Sellinger was selected as a Director. Mr. Sellinger was named to the audit committee and compensation and benefits committee of the Board of Directors.
