Item 1.01 Entry into a Material Definitive Agreement.

On January 4, 2005 Southwestern Energy Company issued a news release to announce the closing of a new $500 million five-year unsecured revolving credit facility. The new credit facility amends and restates the company's existing $300 million three-year unsecured revolving credit facility that would have expired in January 2007 and replaces a smaller separate unsecured credit facility that also would have matured at the same time. The news release is furnished herewith as Exhibit 99.1. |
