On February 23, 2016, EMC Corporation and Dell Inc. issued a joint press release to announce the expiration of the waiting period under the Hart-Scott-Rodino Antitrust Improvements Act of 1976, as amended, in connection with the companies’ proposed combination, a copy of which is attached hereto as Exhibit 99.1 and incorporated herein by reference.
