EXPLANATORY NOTE

Deregistration of Securities

On October 18, 1996, The Procter & Gamble Company (the "Company") filed a Registration Statement on Form S-8 (File No. 333-14397) registering 100,000 shares of the Company's common stock (without par value) (the "Common Stock") for issuance under the Procter & Gamble Subsidiaries Savings Plan (the "Plan").  On April 15, 2007, the Plan merged with the 401(k) component of The Procter & Gamble Profit Sharing Trust and Employee Stock Ownership Plan and became The Procter & Gamble Savings Plan.  Accordingly, pursuant to the undertakings contained in the Registration Statement to remove from registration by means of a post-effective amendment any of the securities being registered which remain unsold at the termination of the offering, the Company is filing this Post-Effective Amendment No. 1 to the Registration Statement to deregister all remaining shares of Common Stock and plan participation interests registered but unsold or otherwise unissued under the Registration Statement.
