Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On Monday, July 29, 2013, Sarah Reese Wallace resigned from the Board of Directors of Park National Corporation (“Park”). Ms. Wallace had served as director of Park since April 20, 2009. Ms. Wallace was a member of the Risk Committee and the Nominating and Corporate Governance Committee of the Park Board of Directors and served in the class of Park directors whose terms expire at the annual meeting of shareholders of Park to be held in 2016. Ms. Wallace also resigned from the Board of Directors of Park's subsidiary bank, The Park National Bank. Ms. Wallace had served as a director of The Park National Bank since 2008.
