Item 7.01 Regulation FD Disclosure.
On January 10, 2019, Christopher J. Swift, President and Chief Executive Officer of The Hartford Financial Services Group, Inc. (the “Company”), purchased 11,423 shares of the Company’s common stock at a price per share of $43.73.
Pursuant to Company policy, Mr. Swift may purchase Company securities in the open market only by means of a trading plan adopted in accordance with guidelines specified under Rule 10b5-1 of the Securities Exchange Act of 1934 (“Rule 10b5-1”). A Rule 10b5-1 compliant trading plan is entered into at a time when an individual is not in possession of material, non-public information and establishes the parameters for later securities transactions. On December 11, 2018, Mr. Swift entered into such a trading plan to purchase $500,000 of Company common stock at market prices thirty days following execution of the trading plan.
The information furnished pursuant to this Item 7.01 shall not be deemed “filed” for purposes of Section 18 of the Securities Exchange Act of 1934 (the “Exchange Act”) or otherwise subject to the liabilities under that Section and shall not be deemed to be incorporated by reference into any filing of the Company under the Securities Act of 1933 or the Exchange Act.
