Item 5.02   Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

CIT Group Inc. (“CIT”) and Jeffrey M. Peek have agreed to amend Mr. Peek’s employment agreement to comply with Section 409A of the Internal Revenue Code, including the requirement to delay in certain circumstances the payment of any applicable severance for six months following an executive’s termination of employment with CIT.
