     On April 12, 2004, Safeguard Scientifics, Inc. issued a press release announcing that it had completed the repurchase of an additional $19.9 million of face value of its 5% Convertible Subordinated Notes due June 15, 2006.

     The press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
