TURK TELEKOM INITIATED LAWSUIT AGAINST TURKCELL

        Subject: Statement made pursuant to Circular VIII, No: 39 of the Capital Markets Board.

We have been notified today that Turk Telekom has initiated a lawsuit at Ankara 7th Court of First Instance claiming that, Turkcell has financially damaged Turk Telekom because of the interconnection agreement signed with Milleni.com and requested collection of its damages totaling to TRY450.9 million (equivalent to US$329.7 million as of August 19, 2005) and requested temporary injunction.

Turkcell believes that such a request has no legal basis since Turkcell conducted these operations based on the permissions received from Ministry of Transportation in order to assure international interconnection via Milleni.com. Turkcell will take all necessary legal actions regarding this issue.
