On October 19, 2007, the bylaws of the Company were amended to provide for the future eligibility of the Company’s stock on a direct registration system as required under New York Stock Exchange Rule 501.00. Under the bylaws, shares of the Company’s stock may be represented in certificated or uncertificated form as determined by the board of directors.
