Item 5.      Other Events
 
On January 22, 2003, ONEOK, Inc. (“the Company”) priced its concurrent public offerings of common stock and equity units. The Company will issue 12 million shares of common stock at $17.19 per share and will issue $350 million in equity units, both pursuant to an effective shelf registration statement. The equity units carry a cash coupon of 8.5 percent and were issued with a maximum premium of 20 percent over the January 22, 2003, per share closing price of the Company’s common stock, which was $17.19. The offerings are subject to customary closing conditions and over-allotment options. The offerings are expected to close on January 28, 2003. The joint book–running managers for both offerings are Banc of America Securities LLC, UBS Warburg LLC and J.P. Morgan Securities Inc.
