Item 8.01. Other Events.

On January 26, 2016, Dollar Tree, Inc. (the “Company”) prepaid $1.0 billion of its $3.3 billion senior secured term loan B-1. The Company will accelerate approximately $19 million of amortizable non-cash deferred financing costs associated with the prepayment to the fourth quarter ending January 30, 2016.

The Company may make additional prepayments on the outstanding debt from time to time in the future depending on available cash balances, free cash flow generation and projected cash needs among other factors.
