SUBJECT: Upcoming Stockholder Vote

Today we announced that Halliburton and Baker Hughes each will hold a special meeting of stockholders on March 27, 2015, at 9 a.m. Central Time in connection with Halliburton’s pending acquisition of Baker Hughes. Halliburton stockholders will vote on whether to approve the issuance of shares of Halliburton common stock in connection with the acquisition, and Baker Hughes stockholders will vote on whether to approve the merger and the Agreement and Plan of Merger, dated November 16, 2014.

Halliburton stockholders and Baker Hughes stockholders of record at the close of business on February 17, 2015, will be entitled to receive notice of and vote at the respective special meetings. Halliburton’s special meeting will be held at our North Belt campus at 3000 North Sam Houston Parkway East, Life Center Auditorium, Houston, Texas 77032. Baker Hughes’ special meeting will be held at its offices at 2727 Allen Parkway, Wortham Meeting Room #2, Houston, Texas 77019.

The vote is an important milestone as the pending transaction is subject to approvals from each company’s stockholders.

The regulatory review process is also underway, and decisions on those reviews are expected over the course of 2015. Halliburton, together with Baker Hughes, is continuing to work with the U.S. Department of Justice, European Commission and other regulatory authorities, and we are diligently working to respond to inquiries from the authorities.
