Item 2.02 — Results of Operations and Financial Condition.

     On July 28, 2005, the Company issued a press release announcing its summary results of operations and certain balance sheet data for the second quarter and first six months ended June 30, 2005. The Company also announced the declaration of a semi-annual cash dividend. A copy of the press release is furnished herewith as Exhibit 99.1 and incorporated herein by reference.
