The Registrant’s Quarterly Report on Form 10-Q for the quarter ended June 30, 2005 (the “Form 10-Q”) cannot be filed by the prescribed due date because the Registrant is experiencing difficulty in completing the preparation of the financial statements for the quarter ended June 30, 2005 and completing the review of the financial statements by the Registrant’s independent registered public accounting firm due to the complexities of accounting for the acquisition of Mi4e Device Management AB. The Registrant seeks relief pursuant to Rule 12b-25(b) with respect to the Form 10-Q. The Form 10-Q will be filed on or before the fifth calendar day following the prescribed due date.

Attachment A
The Registrant expects to report the following in its Quarterly Report on Form 10-Q for the quarter ended June 30, 2005:
    Total revenues for the Registrant’s second quarter of 2005 were $734,000 as compared to $107,000 for the same period in 2004;
 
    Operating expenses for the Registrant’s second quarter of 2005 were $2.3 million compared to $1.9 million for the same period in 2004;
 
    Operating loss for the Registrant’s second quarter of 2005 was $1.6 million as compared to $1.8 million for the same period in 2004; and
 
    Net loss for the Registrant’s second quarter of 2005 was $1.4 million as compared to $1.3 million for the same period in 2004.
The Registrant’s results of operations for the quarter ended June 30, 2005 include the results of Mi4e Device Management AB, which the Registrant acquired on March 16, 2005.
