Item 2.02. Results of Operations and Financial Condition
On January 16, 2007, Centex Corporation, a Nevada corporation (the “Corporation”), announced preliminary results of operations for the quarter ended December 31, 2006. The Corporation announced its estimate of home closings, net sales (orders) and earnings per share for the quarter. A copy of the Corporation’s press release announcing these results is being furnished as Exhibit 99.1 hereto and is hereby incorporated in this Item 2.02 in its entirety by reference.

Item 8.01. Other Events
On January 16, 2007, Centex Corporation, a Nevada corporation (the “Corporation”), announced that it is revising its estimate of diluted earnings per share from continuing operations for the quarter ended December 31, 2006 to a loss of approximately $2.00 per share. A copy of the Corporation’s press release announcing this information is being furnished as Exhibit 99.1 hereto.
