5.02(b) Departure of Certain Officers

On June 27, 2007, HealthMarkets, Inc. (the “Company”) and Phillip J. Myhra, the Company’s Executive Vice President-Insurance Operations and Risk Management, announced that Mr. Myhra would resign from his position, effective August 31, 2007, to pursue other opportunities.
