Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Principal Officers; Compensatory Arrangements of Certain Officers.

(e) On September 9, 2008, the Compensation Committee of our Board of Directors approved the grant of shares of our restricted stock to the officers of LIN TV in the amounts set forth below. The shares, which were granted on September 10, 2008 pursuant to the LIN TV Amended and Restated 2002 Stock Plan, vest over a period of five years, with 20% vesting on each anniversary of the grant date, beginning one year from the date of grant.
