  Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
     On March 3, 2008, Scott A. McGregor, a member of the Board of Directors of Progress Software Corporation (the “Company”), advised the Company that he has decided not to stand for re-election at the Company’s 2008 Annual Meeting of Shareholders. As a result, Mr. McGregor will no longer be a Director of the Company upon the expiration of his current term on April 24, 2008. Mr. McGregor is also a member of the Compensation Committee of the Board of Directors. Mr. McGregor’s decision is not in connection with any known disagreement with the Company on any matter relating to the Company’s operations, policies or practices.
