Item 5.02.   Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers; Compensatory Arrangements of Certain Officers
     At a meeting of the Compensation Committee (the “Committee”) of the Board of Directors of Alnylam Pharmaceuticals, Inc. (the “Company”) held on March 20, 2008, the Committee authorized the implementation of an Executive Stock Option Bonus Plan (the “Plan”) for 2008, pursuant to which each of the Company’s executive officers is eligible to receive an annual bonus in the form of common stock options under the Company’s 2004 Stock Incentive Plan based upon the achievement of individual and corporate objectives for 2008 that have been specified in writing by the Committee. In addition, under the Plan, each executive officer is eligible to receive an additional award of stock options for individual performance that exceeds his or her annual individual performance objectives.
     The table below sets forth the maximum number of stock options that each of the Company’s named executive officers (as used in Instruction 4 to Item 5.02 of Form 8-K) is eligible to receive under the Plan if all 2008 corporate objectives are achieved and such officer exceeds his or her individual performance objectives for 2008 (subject to adjustment in the event of a stock split or similar event affecting the common stock).
