Item 8.01. Other Events.
On
April 5, 2018, Hemisphere Media Group, Inc. (the “Company”) issued a press release announcing the expiration
on April 4, 2018 of all outstanding warrants to purchase shares of the Company’s Class A common stock, par
value $0.0001 per share (“Class A common stock”), as well as the forfeiture of all shares of the Company’s
Class A common stock and shares of the Company’s Class B common stock, par value par value $0.0001 per share, which
were subject to certain forfeiture conditions following the five (5) year anniversary of their issuance in connection with
the Company’s initial public offering.
A copy of the Company’s press release is attached hereto as Exhibit 99.1.
