Item 3.03 Material Modification to Rights of Security Holders and Item 8.01 Other Events.
     On December 6, 2006, the Stockholder Protection Rights Agreement between Harris Corporation (“Harris” or the “Company”) and Mellon Investor Services, LLC (formerly ChaseMellon Shareholder Services, L.L.C.), as Rights Agent, dated as of December 6, 1996 (the “Rights Agreement”), and the preferred share purchase rights issued thereunder, expired by their own terms. As a result, the shares of the Company’s common stock no longer are accompanied by a right to purchase, under certain circumstances, one two-hundredth of a share of Participating Preferred Stock of the Company. The Company’s shareholders were not entitled to any payment as a result of the expiration of the Rights Agreement and the rights.
