Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.
On November 24, 2005, Bruce G. Thompson, a director, co-founder and former chairman and chief
executive officer of Health Care REIT, Inc. (the “Company”) passed away in his home in Toledo,
Ohio. Mr. Thompson was a director of the Company since 1971 and was a member of the Investment and
Planning Committees.
