Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of
Certain Officers; Compensatory Arrangements of Certain Officers.
On September 11, 2008, Michael Nuzzo, Senior Vice President, Finance, of Abercrombie & Fitch
Co. (“A&F” or the “Registrant”), notified the Registrant that he intended to resign from his
positions with A&F and its subsidiaries and affiliates, effective September 25, 2008, in order to
accept a position with an international retailer as its chief financial officer. Upon Mr. Nuzzo’s
departure, Brian Logan, A&F’s Controller, will assume the responsibilities of principal financial
and accounting officer from Mr. Nuzzo.
