ITEM 8.01– Other Events

On July 10, 2017, Cincinnati Bell Inc. (the “Company”) issued a press release (the “Press Release”), announcing the execution of an Agreement and Plan of Merger among the Company, Twin Acquisition Corp., a Delaware corporation and wholly-owned subsidiary of the Company, and Hawaiian Telcom Holdco, Inc., a Delaware corporation (“Hawaiian Telcom”), providing for the combination of the Company and Hawaiian Telcom.

The Company also announced that it had entered into an Agreement and Plan of Merger among the Company, Yankee Acquisition LLC, a Delaware limited liability company, OnX Holdings LLC, a Delaware limited liability company (“OnX”), and MLN Holder Rep LLC, a Delaware limited liability company, providing for the acquisition by the Company of OnX.

A copy of the Press Release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
