Sparta Announces Annual General Meeting Results and Issuance of Shares for Debt

Calgary, Alberta CANADA, April 26, 2013 /FSC/ - Sparta Capital Ltd. (SAY - TSX Venture),(the "Corporation" or "Sparta") (TSXV: SAY) is pleased to announce that it is moving forward with a strong board of directors who will help steer the Corporation's vision of fuel savings and environmental preservation. The Corporation announces that the board of directors of Sparta now consists of Tom Brown, Raymond G. Harris, John O?Bireck, Raymond Ludwig and Charles Burgess.

At the annual and special meeting of the shareholders of the Corporation held April 19, 2013, the following resolutions were also approved:
(a) The fixing of the number of directors of the Corporation at five (5)
(b) The appointment of Kenway Mack Slusarchuck Stewart LLP, Chartered Accountants as the auditors of the Corporation for the ensuing year
(c) The ratification of the Corporation?s stock option plan

The Corporation has also announced, subject to approval of the TSX Venture Exchange Inc. (the "Exchange"), that it intends to issue 75,000 common shares in the capital of the Corporation ("Common Share") at a deemed price of $0.05 per Common Share for payment of outstanding debt of $21,671.11 owing to a unsecured creditor of the Corporation. The Common Shares issued have a hold period of four months from the date of issuance in accordance with applicable securities legislation.
