Specifically, the complaint alleges, among other things, that defendants misrepresented and/or failed to disclose that: a) the Company was understating operating costs and overstating capital expenditures and royalty expenses; b) the Company’s improper accounting practices were causing Penn West to be at risk of non-compliance with certain of its debt covenants; c) the Company’s internal controls were ineffective; and d) due to the above, the Company’s financial statements filed with the SEC were materially false and misleading at all relevant times.
