In the complaint, the defendants are alleged to have violated certain provisions of the Securities Exchange Act of 1934. Specifically, the complaint alleges, among other things, that defendants issued false and misleading statements and/or failed to disclose that: a) ITT’s financial statements contained errors related to the accounting of the PEAKS Trust and PEAKS Program; b) ITT lacked adequate internal controls over financial reporting; and c) due to the above, ITT’s financial statements were materially false and misleading at all relevant times.
