PART III - NARRATIVE

State below in reasonable detail the reasons why Forms 10-K, 20-F, 11-K, 10-Q, N-SAR, or the transition report or portion thereof, could not be filed within the prescribed time period.

Due to the delay by the registrant in filing its Annual Report on Form 10-K for the fiscal year ended December 31, 2002 (as explained in the Form 12b-25 filed by the registrant with the Securities and Exchange Commission on March 31, 2003), the registrant only recently completed its audited financial statements for the year ended December 31, 2002, and was therefore delayed in preparing its financial statements for the fiscal quarter ended March 31, 2003.  The registrant anticipates that it will file its Quarterly Report on Form 10-Q for the quarterly period ended March 31, 2003 within the next few business days.
