Explanatory Note

 

This Amendment No. 1 on Form 8-K/A (this “Amendment”) to the Current Report on Form 8-K of Rite Aid Corporation (the “Company”), originally filed on January 30, 2017 (the “Form 8-K”), is being filed solely to re-furnish Exhibit 99.1 to the Form 8-K.

 

No other changes have been made to the Form 8-K.  This Amendment speaks as of the original filing date of the Form 8-K and does not reflect any events that occurred at a date subsequent to the filing of the Form 8-K or modify or update those disclosures therein in any way.  Accordingly, this Amendment should be read in conjunction with the Company’s filings made with the SEC subsequent to the filing of the Form 8-K.
